The Love Tank - Non-Executive Director recruitment
The Love Tank CIC is currently seeking to recruit up to three Non-Executive Directors.

Experience (essential)
1.
We are seeking applications from individuals with professional, academic or lived experience in any of the following areas:
Black health and equalities
Women’s health
Disability justice
Sexual and reproductive rights
Social justice
Skills (desirable)
2.
In addition to the experience outlined above we would particularly welcome applications from individuals with skills in one or more of the following areas:
Income generation and fundraising (including commissioning and public sector funding)
Human Resources relevant to non-profits
Influencing and policy
Communications and marketing
Managing change and growth in small to medium non-profits
Leadership (in a non-profit, voluntary, social justice movement, public or private sector context)
Time commitment

Non-executive directors are generally expected to be able to commit 3-4 days per year (average 0.5 hour a week) to undertaking their role. This will include:
4 quarterly board meetings annually (online / usually 2 hours)
1 whole team strategy day annually
Supporting the Executive Director and senior leadership team as required between scheduled meetings
Attending events
In exceptional circumstances e.g. if required to support or participate in performance management, disciplinary or grievance processes, additional time commitments may be required.
Remuneration

The role of non-executive director is a voluntary one and is not remunerated. The Love Tank will reimburse any reasonable expenses incurred in undertaking the role e.g. travel costs, overnight accommodation etc.

Applications are open until midday on Monday 9 March 2026. Applications will reopen on Wednesday 1 April 2026 depending on response to the first round of recruitment.

Applications will be reviewed and assessed by a sub-group of current board members and senior management team members.

If you meet the criteria for non-executive board membership you will be invited to a board meeting as an observer where there will be an opportunity to introduce yourself, be introduced to existing board members and to ask any questions arising from your consideration of the information pack (see below) i.e. about the organisation, the role and legal responsibilities, the way the board functions etc
Before attending you will be provided with an information pack containing:
Information about the Love Tank including key policies
The Love Tank’s Articles of Association
Guidance on Good Governance including your legal duties as directors of a CIC
Guidance on Conflicts of Interest

Following your attendance at a board meeting the board will decide if they wish to invite you to join the board - and you will decide if you wish to join.
If an invitation is made (and accepted) you will formally join the board. -
You will need to complete and sign a form that sets out any actual or potential Conflicts of Interest and confirms that you have read and understood your legal duties and good governance guidance.

Before being appointed you will need to verify your identity with Companies House if you have not already done so. This will provide you with a personal code which you must provide in order to be registered as a director of The Love Tank.

The Love Tank will need the following information in order to register a new director with Companies House
Title (Mr, Ms, etc.) & Full Name
Any Former Names (used in the last 20 years)
Date of Birth
Nationality
Occupation
Usual Residential Address (kept private by Companies House)
Service Address (public record address - this is usually the company’s registered address)
Personal code for identity verification (see above)

Once all the relevant information has been obtained you will be registered with Companies House.

Once appointed and registered you will join the next board meeting as a full director and at that board meeting there will be an opportunity for you to ask any further questions arising from the application and appointment process.

A standard term length for a non-executive director is three years from the date of appointment.
A non-executive director may serve a maximum of two three-year terms.
If a non-executive director intends to step down at the end of their first term - or at any other time other than at the end of two three-year terms - they should provide three months' notice of their intention to step down i.e. they should give notice at the board meeting before their final board meeting.

The Companies Act 2006 (Section 168) provides a default method for members to remove a director via an ordinary resolution (50%+ vote),
Reasons for removal might include:
Diminished Performance: Inability to meet board standards, lack of time, or ineffective contribution.
Misconduct/Unethical Behaviour: Fraud, theft, or breach of fiduciary duties (acting in company's best interest).
Neglect of Duties: Persistent failure to perform responsibilities or dereliction of duty.
Conflict of Interest: Failing to declare conflicts or acting against company interests.
Incapacity: Mental or physical inability to perform duties (e.g., mental disorder).
Disqualification: Becoming legally prohibited from being a director (e.g., for unfit conduct).
Bankruptcy: Becoming bankrupt or making arrangements with creditors.
Breach of Articles/Agreements: Violations of the company's constitution or shareholders' agreements.
Prolonged Absence: Extended absence from board meetings.
